In the following text the terms Sendoptics, Sendoptics.com, Judge Opticians, the seller, we, us and our all mean Judge Opticians Ltd (Trading as www.sendoptics.com) The buyer, customer and you mean any party entering into a contract to purchase from Sendoptics Ltd. These terms and conditions supersede any previous terms and conditions issued by Sendoptic.

Introduction: Unless otherwise agreed by us in writing, these terms and conditions of business apply to all contracts to purchase goods entered into with Sendoptics, and these conditions shall over-ride and supersede any conditions of purchase stipulated by the buyer, unless and to the extent that any such conditions of the buyer have been specifically agreed in writing by us.
Payment Terms: Approved credit account holders are allowed a maximum of 60 days credit from the end of the month of invoice. We reserve the right to charge interest on overdue accounts. All other customers including Advantage Trade cardholders must pay in full before goods are released. Where these terms are exceeded Sendoptics reserves the right to withdraw credit facilities and take whatever steps we deem necessary to recover all monies owed, including any costs incurred in collecting such monies.
Pricing: Goods are invoiced at the price ruling at the date of despatch. On occasion we will offer ‘Internet Only’ deals for a limited period. These deals may not be available from our stores. If goods are offered for sale incorrectly we will always try to honour our offer. There may be rare circumstances where we are unable to do so. In such cases we will contact you to explain the situation. If we are unable to come to an agreement with you, we reserve the right to refuse your order and refund any payment you have made. We reserve the right to alter advertised prices without notice.
Retention of Title: All goods are sold under retention of title terms. The ownership of goods shall not pass to the customer until full payment of the purchase price is made. However, the risk shall pass to the buyer on delivery. This clause shall not be over-ridden by any buyer’s conditions of purchase and orders are only accepted on this basis. Notwithstanding delivery and the passing of risk in goods, or any other of these conditions, the property of the goods shall not pass to the buyer until the seller has received in cash or cleared funds payment in full of the price of the goods and all other goods agreed to be sold by the seller to the buyer for which payment is then due.
Quotations: Quotations are given in good faith according to the pricing and availability at the time. No liability can be accepted for variances in stock levels between the time of a quotation and receipt of an order. Any delivery date quoted is to be considered approximate only and cannot be guaranteed. Sendoptics accepts no liability for late delivery.
Specification: The customer’s attention is specifically drawn to the manufacturer’s brochures and safety literature in respect of the correct use and application of products, which Sendoptics may supply. The customer shall be wholly responsible for ensuring that such products are entirely appropriate for the use and application to which they might be put. The specification and description of goods in our own brochures and literature are correct to the best of our knowledge at the time of going to press and no liability shall be accepted for any errors or misprints, which may be stated. As manufacturers reserve the right to change specification without notice customers are advised to confirm the exact specification of goods prior to purchase.
Availability: We aim to keep sufficient stock to fulfil all orders. If we are unable to supply or deliver the goods ordered by you we may at our discretion; delay your order if the goods are expected to be in stock imminently, supply or deliver a substituted product or refund you (or issue a credit in the case of account customers) the price paid for such goods as soon as possible.
Cancellation: You may cancel your order at any time until the goods have been despatched. If you wish to cancel your order you should do so by telephone and we will confirm that it has been possible. Please bear in mind that your goods will usually be packed and despatched very shortly after your order is received.
Returned Goods: Any goods purchased from our standard stock range, which are in new, unused condition and have all their original packaging, can be returned to us within seven working days from the date you receive them, for a refund or credit of the original purchase price in full. In these circumstances the cost of returning goods is the customer’s responsibility. Goods which are not part of our standard stock range and are ordered in at the request of a customer shall not normally be returned for refund or credit unless agreed by us in which case the customer will be liable for any restocking charges or other costs incurred including the cost of returning the goods. In any case where goods are returned for any reason, and Sendoptics agrees to issue a refund, Sendoptics liability is limited to the original purchase price of the goods. Where the goods are being returned because they are faulty from new, incorrect goods or because of unsuitable substitution by us, we will meet the cost of return but we ask that you allow us to nominate the carrier. If goods are returned under a warranty claim, the customer is liable for any costs incurred in returning the goods to us or any other authorised warranty service agent.
Liability: Nothing in these terms and conditions of sale is intended to affect your statutory rights or to limit our liability for death, personal injury or fraudulent misrepresentation resulting from our negligence. Our liability to you will always be limited to a full refund of the goods purchased. We will not compensate for delivery delays or failures. In these circumstances our liability will be limited to a refund of any carriage charges paid by you at the time of the original transaction. Our liability to you specifically excludes compensation for indirect or consequential loss or damage however it occurs. In any case, Sendoptics liability is limited to the original purchase price of the goods.
Delivery: deliveries made on our behalf by a carrier are subject to our current carriage terms. This will be stated at the time of ordering.
Unforeseen Circumstances: We shall have no liability to you for any failure or delay in supply or delivery or for any damage or defect to goods supplied or delivered hereunder that is caused by any event or circumstance beyond our reasonable control (including, without limitation; strikes, lockouts, industrial disputes, wars, acts of terrorism, floods, power cuts etc.)
Shortages: Short delivery or receipt of damaged goods must be advised within 5 working days of delivery quoting our document reference number. We will endeavour to rectify the problem as quickly as possible. Claims submitted after this period will not be valid.
Content: All goods are supplied subject to the manufacturers content terms. In addition, any non-powered tool or accessory found to have a manufacturing defect is replaced regardless of age. In this instance Sendoptics reserves the right to replace a faulty product with a substitute of equivalent value or to refund the original purchase price. In all instances Sendoptics liability is limited to the original sale value of the faulty product. No claim is accepted where goods have been used for a purpose for which they are not intended, fitted incorrectly, not maintained to the manufacturers recommended standards, have failed due to fair wear and tear or have been misused or abused. All goods that we supply are intended for use in the UK and we make no warranties that the goods are suitable for use outside the UK, or comply with any laws, regulations or standards of any jurisdiction outside the UK. Manufacturers’ warranties may be invalidated if the goods are used outside the UK.
General: if any part of these conditions is invalid, illegal or unenforceable, the validity, legality or enforceability of any other part of these conditions will not be affected. These terms and conditions of business and any contract between Sendoptics and you shall be governed by and interpreted in accordance with English law.
